Feel Good Club Loyalty Program Terms and Conditions

1. GENERAL

1.1 These Terms and Conditions (“Terms”) govern the Feel Good Club Loyalty Program (Loyalty Program).

1.2 A reference to “Top Juice”, “us”, “we” or our” means Top Juice Pty Ltd (ACN 145 706 967).

1.3 A reference to “Member”, “you” and “your” means individuals who have registered as a member of the Loyalty Program.

1.4 By registering as a member of the Loyalty Program, you:

(a) acknowledge and agree to comply with these Terms; and

(b) agree for your personal information to be used in accordance with our Privacy Policy .

2 PROGRAM ELIGIBILITY AND REGISTRATION

2.1 You must be at least 16 years of age and an Australian resident to become a member of the Loyalty Program.

2.2 To join the Loyalty Program, you need to register as a member by:

(a) downloading the Top Juice App (App); and

(b) creating an account by following the prompts on the App (Account). This will involve providing your details (which may include your full name, date of birth, a valid email address and your mobile number) and creating a password.

2.3 It is your responsibility to ensure that the details you provide to us are accurate, complete and up to date.

2.4 You must at all times keep your Account details (including your username and password) secure and confidential and not disclose them to any third party. You are solely responsible for any use of your Account by any third party. To the fullest extent permitted by law, you agree to release and indemnify us in relation to any claims, loss or liability arising out of the unauthorised use of your Account (including your username and password). You must notify us immediately if you become aware of any unauthorised use of your Account.

2.5 You must not register multiple accounts, share an account with a third party, or create an account for a person other than yourself. We may from time to time request identification from you in order to verify your identity.

2.6 Accounts that remain inactive for three (3) or more years may be deactivated by us at our sole discretion. If your account is deactivated by us due to remaining inactive for three (3) or more years, you acknowledge and agree that all your accumulated rewards and Stamps will be forfeited.

3 EARNING STAMPS

3.1 If you have an active Account, you can earn one (1) Top Juice Stamp (Stamp) for each eligible purchase of a full priced medium or large drink, where no discount, offer, promotion, voucher, or reward has been applied, made either:

(a) in-store by scanning your Account via the App at checkout; or

(b) via the App while logged-in to your Account.

3.2 For the avoidance of doubt, stamps will not be earned on any transaction where a discount or benefit is applied, including but not limited to:

(a) free drink redemptions;

(b) loyalty reward redemptions;

(c) promotional offers or coupons;

(d) staff, student, or third-party discounts; or

3.3 Stamps are only awarded for medium or large drink purchases. Stamps cannot be earned on other products or drink sizes.

3.4 If multiple medium or large drinks are purchased in a single transaction, you will receive one (1) Stamp for each eligible drink purchased, provided no discount or reward is applied to those drinks.

3.5 Stamps:

(a) are awarded per eligible medium or large drink purchased;

(b) typically appear in your account within twenty-four (24) hours;

(c) cannot be earned on third party delivery platform purchases; and

(d) cannot be retrospectively claimed from past transactions.

3.6 We may from time to time restrict the earning of Stamps to certain types of orders. Additionally, we may from time to time grant additional Stamps to users with specific status and where we decide to conduct a promotion.

3.7 If an order is cancelled or refunded for any reason, Top Juice may adjust or reverse any redeemed Stamps that were previously awarded to a Member in connection with the cancelled or refunded order.

3.8 Top Juice reserves the right to withdraw, cancel or vary any Stamps against an Account at any time if:

(a) we suspect the Stamps were earned through fraudulent means;

(b) the Stamps were incorrectly awarded due to a system glitch or technical error;

(c) the Stamps were earned in a manner that violates the Loyalty Program and/or these Terms;

(d) the Account associated with the Stamps has been closed or suspended by us or you; or

(e) the Stamps were mistakenly credited to the wrong Account.

4 REDEEMING STAMPS AND EXPIRY

4.1 When you have collected seven (7) Stamps from eligible purchases, you will earn a reward of one (1) free medium or large drink on your next purchase (Free Drink Reward).

4.2 The Free Drink Reward:

(a) applies only to medium or large drink sizes;

(b) is tracked automatically in your Account via the App;

(c) expires thirty (30) days from the date it is earned;

(d) must be redeemed in-store or through the App when ordering;

(e) is non-transferable and not redeemable for cash;

(f) is not redeemable through third party delivery services; and

(g) cannot be combined with other offers unless otherwise stated.

4.3 Once you earn a Free Drink Reward, your Stamp count resets to zero and you start earning Stamps again.

4.4 Stamps expire three (3) years from the date earned, unless otherwise stated.

4.5 Stamps and rewards may be subject to expiration or removal if your Account is inactive or terminated.

4.6 Your available Stamps balance can be viewed anytime on the App.

4.7 The Sign-up Bonus and Birthday Reward (detailed below) expire after their stated validity, which is advised at the time of earning the reward.

4.8 Stamps cannot be applied to previous purchases or missed transactions.

4.9 Expired rewards cannot be reinstated or extended.

4.10 To be eligible to receive any rewards, Members must complete account verification via SMS as part of the onboarding process.

5 SIGN UP BONUS

5.1 New members receive one (1) free small “Feel Good Juice” upon successful registration of their Account (Sign Up Bonus), when they make a minimum purchase of $5 in a single transaction.

5.2 The Sign Up Bonus is valid for fourteen (14) days from the date of successful registration of their Account. The Sign Up Bonus must be redeemed in-store only.

5.3 The Sign Up Bonus is limited to one (1) per person.

6 BIRTHDAY REWARD

6.1 Members who have made at least one (1) full-priced purchase within ninety (90) days prior to their birthday month are eligible for a Birthday Reward.

6.2 Members eligible for a Birthday Reward will receive one (1) free medium drink of their choice.

6.3 The Birthday Reward is valid for seven (7) days, commencing three (3) days prior to your birthday, and expiring three (3) days after your birthday.

6.4 Your correct date of birth must be added at least seven (7) days prior to your birthday.

6.5 The Birthday Reward must be redeemed in-store.

6.6 Top Juice staff may request valid photo identification documents to verify you and your date of birth.

6.7 The Birthday Reward is valid once per calendar year, and is non-transferable, and not extendable.

6.8 Top Juice is not responsible for incorrect dates of birth, store closures, public holidays, or other disruptions that may limit the Members use of the Birthday Reward.

7 CHANGES TO THE LOYALTY PROGRAM

7.1 Except as otherwise expressly prohibited or limited by applicable laws, Top Juice reserves the right to change, suspend or terminate the Loyalty Program (or any part of it) at any time. Top Juice will notify you if, in its reasonable opinion, any change, suspension or termination will have a material detrimental effect on you. Such notices will be provided to you via the App or via email.

8 CANCEL MEMBERSHIP

8.1 A Member may, at any time, cancel their membership to the Loyalty Program by following the prompts on the App.

8.2 Members acknowledge and agree that upon cancellation, any accumulated rewards and Stamps will be forfeited immediately. The Member acknowledges and agrees that Top Juice will not be held liable for any forfeiture of rewards or Stamps. The forfeiture is final and non-reversable.

9 TERMINATION AND SUSPENSION

9.1 Top Juice reserves the right to suspend or terminate your Account and participation in the Loyalty Program if we reasonably believe:

(a) you do not meet the eligibility requirements in clause 2;

(b) you have committed a breach of these Terms;

(c) there is fraud or suspicious activity in connection with your Account; or

(d) you have used your Account and/or the Loyalty Program in a fraudulent or improper manner.

9.2 Members acknowledge and agree that, if their Account is terminated in accordance with this clause 9, all outstanding rewards and Stamps will no longer be valid and will be rendered null and void as at the date of termination of your Account. The Member acknowledges and agrees that Top Juice will not be held liable for the loss of rewards or Stamps.

10 LIMITATION OF LIABILITY

10.1 To the fullest extent permitted by law, Top Juice will not be liable for any special, indirect or consequential loss or damage, loss of profit or opportunity, or damage to goodwill arising out of or in connection with these Terms and/or your participation in the Loyalty Program, whether at common law, under contract, tort (including negligence), in equity, pursuant to statute, or otherwise.

12 GENERAL

12.1 These Terms constitute the entire agreement and understanding between you and us regarding its subject matter.

12.2 The failure of us to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

12.3 If any part of these Terms is found to be void, unlawful or unenforceable by a Court of competent jurisdiction, that part shall be severed, and the rest of the Terms shall remain in force.

12.4 These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the Court of New South Wales, Australia.
